PARTICIPANT AGREEMENT
Confidentiality and Limited-Use Agreement
Version 2026-08-27-v1 · Effective August 27, 20261. Parties, purpose, and consideration
This Participant Confidentiality and Limited-Use Agreement (the Agreement) is between SixAM, Inc., a Florida corporation (SixAM), and the individual who electronically signs below (Participant). If Participant selects the organization-signing option and has authority to bind the identified organization, Participant also signs for that organization. Access to the nonpublic JobSite Link and Skilled Links review experience is sufficient consideration for this Agreement.
Participant may receive Confidential Information solely to evaluate proposed SixAM platform experiences and provide feedback for the Jacksonville Civic Council discovery process (the Evaluation Purpose). Participant will use Confidential Information only for the Evaluation Purpose.
2. Confidential Information
Confidential Information means nonpublic information disclosed by or for SixAM in any form, whether or not marked confidential, that a reasonable person would understand to be confidential given its nature or the circumstances of disclosure.
- JobSite Link, Skilled Links, CivicCareerLink, and SixAM concepts, software, source or object code, prompts, models, algorithms, schemas, data structures, system architecture, security methods, integrations, and technical documentation.
- User experiences, screens, designs, onboarding flows, participant journeys, profiles, matching and gap-analysis methods, service connections, workspaces, dashboards, KPI logic, analytics, reporting frameworks, and implementation methods.
- Prototypes, demonstrations, screenshots, recordings, notes, drafts, research, test results, roadmaps, unreleased features, pricing, financial information, business plans, proposals, and commercialization strategy.
- Nonpublic information about participants, candidates, employees, contractors, customers, funders, vendors, employers, educators, unions, apprenticeship sponsors, civic partners, community organizations, and other partners.
- Any copy, excerpt, summary, analysis, derivative, or other material that contains or reveals the foregoing information.
3. Exclusions
Confidential Information does not include information Participant can document: (a) is publicly available through no breach of this Agreement; (b) was lawfully known to Participant without a confidentiality duty before SixAM disclosed it; (c) was rightfully received from a third party without a confidentiality duty; (d) was independently developed without use of or reference to Confidential Information; or (e) SixAM approved for release in a written record signed by an authorized SixAM representative.
4. Participant obligations
Participant will protect Confidential Information with at least reasonable care and no less care than Participant uses for similarly sensitive information. Participant will promptly notify SixAM of suspected loss, unauthorized access, use, or disclosure and reasonably cooperate to limit harm.
- Do not disclose Confidential Information to anyone who has not accepted a SixAM agreement or is not otherwise bound by written confidentiality obligations at least as protective as this Agreement and directly involved in the Evaluation Purpose.
- Do not publish, post, distribute, sell, license, record, photograph, screen-capture, or reproduce Confidential Information except as SixAM expressly authorizes in writing for the Evaluation Purpose.
- Do not reverse engineer, decompile, disassemble, probe, scrape, extract, benchmark for publication, circumvent access controls, build a competing or derivative product, or use Confidential Information for any commercial purpose other than the Evaluation Purpose, except to the limited extent a prohibition is not permitted by law.
- Do not share credentials or access links and do not upload Confidential Information into an external artificial-intelligence system, public repository, or third-party knowledge base without SixAM's prior written approval.
- On SixAM's request or when the review ends, stop using and return or securely destroy Confidential Information, including copies and notes, except for one archival copy kept only when law or documented compliance policy requires it.
5. Ownership, limited access, and feedback
SixAM and its licensors retain all ownership and intellectual-property rights in their materials. This Agreement grants only a temporary, revocable, nontransferable right to access the review experience for the Evaluation Purpose. No other license, ownership right, or commitment to enter a business relationship is granted.
Participant may provide suggestions and feedback voluntarily. Participant grants SixAM a perpetual, worldwide, royalty-free, transferable, sublicensable right to use, adapt, combine, commercialize, and otherwise exploit that feedback without restriction or payment. This feedback right does not transfer ownership of Participant's or Participant's organization's pre-existing intellectual property, confidential information, or personal data.
6. Required disclosures and public-sector participants
If law, regulation, subpoena, court order, or other valid legal process requires disclosure, Participant may disclose only the legally required portion and, to the extent legally permitted, will promptly notify SixAM and reasonably assist SixAM in seeking confidential treatment or other protection.
If Participant is a governmental agency, public official, public employee, or public-sector representative, this Agreement applies only to the extent permitted by applicable public-records, open-meetings, ethics, procurement, and other public laws. It does not require withholding a nonexempt public record. To the extent legally permitted, Participant will notify SixAM before disclosure and coordinate with the applicable records custodian so SixAM may identify and support any lawful exemption, including an exemption for qualifying trade secrets.
7. Protected reporting and trade-secret immunity
Nothing in this Agreement prohibits or restricts Participant from reporting a suspected violation of law, communicating or cooperating with a government, law-enforcement, or regulatory authority, consulting an attorney, making a legally protected disclosure, or seeking or receiving a lawful whistleblower award. Participant does not need SixAM's permission or prior notice for protected activity.
Under 18 U.S.C. section 1833(b), an individual is not criminally or civilly liable under federal or state trade-secret law for a confidential disclosure of a trade secret to a federal, state, or local government official or to an attorney solely to report or investigate a suspected legal violation, or for a disclosure made in a complaint or other document filed under seal. An individual pursuing a retaliation claim may disclose a trade secret to the individual's attorney and use it in the proceeding if filings containing the trade secret are made under seal and the trade secret is not otherwise disclosed except by court order.
8. Duration and remedies
This Agreement begins when Participant electronically signs it. The duties for Confidential Information continue for 5 years after the later of the last disclosure or Participant's last access. Duties for a trade secret continue for as long as the information remains a trade secret under applicable law.
Participant agrees that unauthorized use or disclosure may cause harm for which money alone is not an adequate remedy. SixAM may seek temporary, preliminary, and permanent equitable relief, subject to applicable law and court requirements, in addition to other available remedies. This section does not create an automatic penalty, noncompetition restriction, or waiver of any required bond.
9. No warranty or commitment
The review experience and Confidential Information are provided for evaluation as is, may be incomplete or illustrative, and may change. SixAM makes no warranty regarding accuracy, completeness, fitness, availability, or future implementation. Neither party is required to proceed with a transaction or relationship.
10. General terms
Florida law governs this Agreement without regard to conflict-of-law rules. The parties consent to exclusive venue in the state courts located in Duval County, Florida, or the applicable federal court serving Duval County. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. Failure to enforce a provision is not a waiver. Participant may not assign this Agreement without SixAM's prior written consent. This Agreement is the complete agreement about its subject and may be amended only in a written record signed by both parties.
11. Electronic records and electronic signature
Participant agrees to conduct this transaction electronically. By checking the required boxes, typing the same legal name in the signature field, and selecting Sign Agreement & Enter, Participant intends to sign and be legally bound by this Agreement. The electronic record will associate Participant's submitted identity information with the Agreement version, an integrity hash, and a UTC timestamp. Participant may print or save the Agreement before signing and may print or save a signed receipt afterward.
Participant represents being at least 18 years old and having legal capacity to sign. If signing for an organization, Participant also represents having authority to bind that organization. A person who is under 18 or lacks organizational authority must not use the corresponding signing option and should contact the SixAM project lead for an approved alternative.
You may print or save this agreement now. A signed receipt with the exact version and integrity hash will be available after acceptance.
